1. Introduction

1.1 Legal Entity. These Terms and Conditions (“Terms”) govern access to and use of the landing pages, forms, and any other online properties (collectively, the “Service”) operated by Moirai Media Limited (“Company,” “we,” “us,” or “our”). 1.2 Binding Agreement. By accessing or using the Service, you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept them, you must not use the Service.

1.3 Related Policies. These Terms incorporate by reference our separate Privacy Policy, which describe how we collect and process personal data and how we use tracking technologies. Continued use of the Service signifies your acceptance of those policies as well.

2. Acceptance of Terms

2.1 Acceptance by Use. By accessing or using any part of our landing pages or the Service, you agree to be bound by these Terms, our Privacy Policy, and Cookie Policy, as well as all applicable laws and regulations. If you do not agree, you must immediately stop using the Service.

2.2 Consent Mechanism. Before submitting any personal data, you must give your express consent by ticking the checkbox presented on the submission form. Without this consent, we will not process your data and you will be unable to proceed.

2.3 Continued Acceptance. Each visit to the Service reaffirms your acceptance of these Terms and any updates in effect at that time.

3. Eligibility & Age Restrictions

3.1 18 + Only. The Service and any linked dating offers are intended solely for individuals who are at least eighteen (18) years old. By accessing or using the Service, you represent and warrant that you are 18 years of age or older.

3.2 Adult-Content Warning. The Service may link to or display content of a sexual nature that is suitable only for adults. If such material offends you or is illegal where you are located, do not use the Service. Parents and guardians are advised to install reputable parental-control software or adjust device settings to prevent minors from accessing adult content online.

3.3 Right to Verify & Refuse Access. We reserve the right, at our sole discretion, to request proof of age, verify the accuracy of any age information provided, and to suspend or terminate access to the Service if we suspect a user is under 18 or has misrepresented their age.

4. Service Description

4.1 Traffic Brokerage. Company purchases web advertising inventory and directs visitors who click our ads or landing pages (“Users”) to third-party dating websites, mobile applications, or promotional offers (“Offers”).

4.2 External Offers. Each Offer is operated by an independent provider. Company does not own or control these external sites and is not responsible for their content, policies, or performance. Your interactions with an Offer are governed by that provider’s own terms and privacy practices.

4.3 “As-Is” / No Guarantees. The Service is provided on an “as-is, as-available” basis. We do not guarantee (a) account creation or acceptance at any Offer, (b) the success of any dating match or interaction, (c) any minimum traffic volume or quality, or (d) uninterrupted uptime or error-free operation.

4.4 Automatic Account Creation via API. Where technically supported by an Offer, we may transmit the data you submit (e.g., email, age, gender) through an Application Programming Interface (“API”) to pre-populate or automatically create an account for you on that Offer. By using the Service and providing your data, you authorise us to perform such transmissions on your behalf.

5. User Conduct & Prohibited Uses

5.1 No Unlawful, Fraudulent, or Harassing Activity. You agree not to use the Service for any purpose that is unlawful, fraudulent, defamatory, abusive, harassing, or otherwise objectionable, nor to encourage others to do so.

5.2 No Automated Scraping or Interference. You must not employ bots, spiders, scripts, or other automated means to access, scrape, monitor, copy, or collect data from the Service, nor interfere with, disable, or circumvent any security or tracking technologies (including cookies, fingerprinting scripts, or server-side analytics).

5.3 Accuracy of Information. You are responsible for ensuring that all information you submit through the Service is true, accurate, current, and complete. Providing false data or impersonating another person is strictly prohibited.

6. Data Collection & Processing

7. Cookies & Tracking Technologies

7.1 Technologies Used. We employ first- and third-party HTTP cookies, server-side tracking pixels, beacons, and device-fingerprinting scripts (collectively, “Tracking Technologies”) to recognise your browser or device across sessions.

7.2 Purposes. These Tracking Technologies enable core site functions, measure campaign performance, personalise advertisements, and help detect fraud and security threats.

7.6 Effect of Disabling. Blocking certain cookies may impair site functionality or limit the personalisation of ads; essential cookies remain active to preserve basic operation.

8. Marketing Communications

8.1 Consent to Receive Messages. By submitting your email address or mobile-phone number through the Service, you grant Company permission to send you promotional emails and/or SMS text messages about our own services and related dating offers. You further authorise us to share your contact details with selected partners so they may send you similar communications.

8.2 Soft Opt-In Basis. Where local law permits (e.g., GDPR Article 21(2) and UK PECR Reg. 22), we may rely on a “soft opt-in” to email you about services similar to those you originally requested, provided we give you a clear opportunity to refuse such marketing at the time of data collection and in every subsequent message.

8.3 Unsubscribe / Opt-Out. Every email and SMS we send will contain a functional unsubscribe link or instructions (e.g., reply “STOP”). We process opt-out requests within the timeframes mandated by CAN-SPAM (10 business days) and other applicable laws. Opting out of Company’s communications does not automatically opt you out of messages sent directly by our third-party partners; you must follow the opt-out instructions in those messages separately.

8.4 Third-Party Marketing Consent Box. Where required for compliance (e.g., under GDPR, ePrivacy, or CCPA), we will present a distinct checkbox allowing you to consent—or decline—to receive marketing communications from third parties independent of Company. Your choice will be honoured, and you may withdraw consent at any time via the methods described in Section 8.3.

9. Third-Party Content & Links

9.1 Independent Controllers. The dating websites, mobile apps, and other offers (“External Sites”) to which the Service redirects you are operated by independent entities that act as their own data controllers. Company does not own, manage, or control these External Sites.

9.2 No Endorsement or Responsibility. Links to External Sites are provided solely for your convenience. Company does not endorse, monitor, or assume any responsibility for the content, availability, privacy practices, or terms and conditions of any External Site. Your interactions with an External Site—including account creation, payments, or communications—are solely between you and that provider and are governed by that provider’s own policies and agreements.

10. Intellectual Property

10.1 Ownership. All text, graphics, design elements, code, audio, video, and other content appearing on the Service—including trademarks, service marks, and logos—are the property of the Company or its licensors and are protected by copyright, trademark, and other intellectual-property laws.

10.2 Limited Licence. Company grants you a limited, revocable, non-exclusive, non-transferable licence to access and view the landing pages and associated content solely for your personal, non-commercial use and strictly in accordance with these Terms.

10.3 Restrictions. Except as explicitly permitted by this licence or applicable mandatory law, you may not copy, reproduce, distribute, modify, display, perform, publish, translate, create derivative works from, transmit, or otherwise exploit any portion of the Service without Company’s prior written consent. Any unauthorised use automatically terminates the licence granted in Section 10.2.

11. Disclaimer of Warranties

11.1 “As-Is” Basis. The Service, including all content, links, tracking technologies, and features, is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.

11.2 No Guarantees. Company expressly disclaims all warranties or representations regarding:

12. Limitation of Liability

12.1 Exclusion of Damages. To the fullest extent permitted under Hong Kong law, Moirai Media Limited and its directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages—including, without limitation, loss of profits, data, goodwill, or other intangible losses—arising out of or in connection with (a) your access to, use of, or inability to use the Service or any External Site; (b) any conduct or content of any third party; or (c) unauthorised access, use, or alteration of your transmissions or data, even if we have been advised of the possibility of such damages.

12.2 Aggregate Cap (Optional). If, notwithstanding the foregoing, liability is imposed on Company, our total aggregate liability to you for all claims in the aggregate shall not exceed [insert cap—e.g., USD 100 or the amount you paid us in the six (6) months preceding the claim, whichever is greater]. If you prefer no cap, delete this sentence.

13. Compliance With Laws & Regulations

13.1 Company’s Compliance. Moirai Media Limited endeavours to operate the Service in accordance with all applicable laws and regulations, including but not limited to:

You are solely responsible for ensuring that your use of the Service, and any External Site accessed through it, complies with all laws, regulations, and age restrictions that apply to you in your location. If use of the Service would be unlawful where you are located, you must not access or use it.

14. Governing Law & Dispute Resolution

14.1 Governing Law. These Terms and any dispute or claim arising from or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict-of-law principles.

14.2 Jurisdiction and Venue. You and Company agree to submit to the exclusive jurisdiction of the courts of Hong Kong for the resolution of any dispute arising out of or relating to these Terms or the Service. Company may, however, seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual-property rights. (If you prefer arbitration, replace this clause with an arbitration agreement.)

14.3 Limitation Period. Any claim or cause of action you may have arising out of or relating to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose; otherwise, it is permanently barred.

15. Modifications to the Terms

15.1 Right to Modify. Company reserves the right to revise or update these Terms at any time, in whole or in part, at our sole discretion.

15.2 Notice of Material Changes. For changes that materially affect your rights or obligations, we will provide at least 30 days’ advance notice—for example, by displaying a prominent banner on the Service or by sending an email to the address you supplied (if available).

15.3 Acceptance by Continued Use. Unless otherwise stated in the notice, the updated Terms will become effective on the date specified. Your continued access to or use of the Service after that effective date constitutes your acceptance of the revised Terms. If you do not agree with the modifications, you must stop using the Service before the changes take effect.

16. Severability & Entire Agreement

16.1 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

16.2 Entire Agreement. These Terms, together with the Privacy Policy and Cookie Policy incorporated by reference, constitute the entire agreement between you and Company regarding the Service and supersede all prior or contemporaneous agreements, communications, and understandings—whether written or oral—relating to the subject matter herein.
